1. Agreement to These Terms
These Terms of Service govern your use of www.skipjackarts.hair and your engagement of the maritime art services offered by Skipjack Arts LLC. By visiting the site, sending an inquiry, commissioning a portrait, ordering a print run, or attending a studio event, you agree to these terms. If you do not agree, please do not use the site or engage the studio.
These terms are written in plain English because the studio believes that an agreement should be readable by the people who sign it. They are not a substitute for a written scope, and a signed scope for a particular commission takes precedence over these general terms where the two differ.
If you are agreeing on behalf of an organization, you confirm that you have authority to bind that organization to these terms. If you are an individual, you confirm that you are at least eighteen years of age or that you have the consent of a parent or guardian.
2. Definitions
For clarity, the following words have the meanings given here. The Studio means Skipjack Arts LLC, including the people who work in its yard. The Site means www.skipjackarts.hair and every page hosted under that domain. The Client means the person or organization that commissions work or receives services. The Work means any painting, print, plate, study, panel or other physical item produced by the Studio. The Scope means the written agreement that describes a particular commission. The Register means the internal record in which the Studio documents plates, edition sizes, closing dates and delivery.
The words including and such as are illustrative and do not limit the general word that precedes them. Headings are for convenience only and do not affect the interpretation of a clause.
3. Studio Identity and Contact
The Site and the services are provided by Skipjack Arts LLC, a company registered in the United States with a studio at 299 W 1380 N, Orem - 84057-6516, United States (US). The studio email address is assembly@skipjackarts.hair and the studio telephone number is +13692408534. Formal notices under these terms should be sent by email with a request for confirmation of receipt, or by post to the address above.
Business hours are Monday to Friday from 9:00 to 17:00, and Saturday from 10:00 to 14:00 by appointment. The studio is closed on Sunday. Messages received outside business hours are answered on the next working day.
4. Use of the Website
The Site is provided for information about the studio, its services, and the work produced in the yard. You may read the pages, print them for personal reference, and share links with others. You may not copy substantial portions of the text or images into another publication, commercial site or advertisement without written permission.
You agree not to interfere with the operation of the Site, not to attempt to gain access to areas that are not public, and not to use automated tools to scrape content at a rate that burdens the hosting provider. You also agree not to misrepresent your identity when contacting the studio.
The contact form exists to help you write to the studio. It assembles a message in your own mail program and does not transmit your text to a server operated by the Studio. You are responsible for the content of any message you send.
5. Inquiries and Quotations
An inquiry is a request for information and does not create a contract. A quotation describes the work the Studio expects to perform, the size and medium, the price, and the expected delivery window. A quotation remains open for thirty days unless it states otherwise, because material costs and shipping rates can shift.
A contract is formed only when the Studio confirms acceptance in writing and the deposit required by the Scope has cleared. Until that point, either party may walk away without obligation, and the Studio may offer the bench time to another client.
Quotations are based on the boat, the harbor and the season described during the survey. If the vessel turns out to differ materially from the description, the Studio will propose a revised Scope rather than proceed on terms that no longer fit.
6. Commission Agreements
Every commission is documented in a written Scope. The Scope records the subject, the size and medium, the survey arrangements, the deposit, the balance, the expected delivery window and any special conditions such as framing or crating. Both parties receive a copy.
The Client agrees to provide reasonable access to the vessel for the survey, to identify any parts of the vessel that must not be photographed, and to respond to approval requests within a reasonable time. The Studio agrees to perform the work with reasonable skill and care, to keep the Client informed of material delays, and to deliver the Work in the condition described in the Scope.
The Studio may decline a commission that it cannot complete honestly, for example when the subject cannot be surveyed within the season or when the requested deadline would compromise drying time. A refusal at this stage carries no penalty.
7. Payments and Deposits
Unless the Scope states otherwise, a commission requires a deposit of one third of the agreed fee before the bench time is reserved. The balance is due before delivery. A print run assembly is paid in full when the run closes, and a rigging study is paid in full when the plate is approved.
Payments may be made by the method named in the invoice. The Studio does not accept payment to an account that differs from the one named in the invoice, and a Client who receives such a request should treat it as fraudulent and contact the studio by telephone.
Late payment may pause the work. If a balance remains unpaid for more than thirty days after delivery, the Studio may charge interest at the rate permitted by applicable law and may withhold the release of documentation until payment is settled.
8. Scheduling and Delivery
The Studio plans its calendar around the working season. Spring is reserved for surveys and rigging studies, summer for commissioned portraits, and the autumn harbor week feeds the winter print run. Delivery windows are estimates made in good faith and are not a guarantee of a calendar date.
If a delay is likely, the Studio will write to the Client as soon as the delay is known and will offer a revised date. Paintings need drying time, and rushing that stage is the most common way a work fails. The Studio would rather move a date than damage a piece.
Delivery is completed when the Work is handed to the carrier, or when the Work is collected at the studio, whichever the Scope provides. Documentation, including the rigging sheet and the colophon, is delivered with the Work unless the Scope says otherwise.
9. Approvals and Corrections
A commission includes one rigging sheet review before paint is mixed and one blocking review after the first stage is complete. Further rounds are welcome and are charged at the studio rate stated in the Scope. This is not a penalty. It simply reflects the time that a careful correction takes.
Once the Client approves a stage in writing, the Studio proceeds to the next stage. Corrections requested after a later stage may require rework, and the Studio will explain the cost before doing the work.
The Studio retains final judgment over the artistic treatment of the Work. The Client may direct subject matter, size and details, but the Studio will not reproduce a composition that belongs to another artist.
10. Print Runs and Editions
A print run is capped at the number stated in the Scope and is closed for good once the last sheet is pulled. The Studio does not reopen a closed run and does not sell proofs from a closed run as if they were part of the edition. Every sheet carries a plate number and a signature, and the closing date is recorded in the Register.
Slight variation between sheets is normal in hand pulled printing. Ink density, paper texture and registration can differ by a small amount, and such variation is a feature of the process rather than a defect. A sheet that falls outside the Studio standard is marked as an artist proof or discarded.
A Client who orders a print run assembly before the run closes may request a specific number, subject to availability. Requests made after the run closes cannot be honored.
11. Intellectual Property
All text, drawings, photographs, designs and page layouts on the Site belong to Skipjack Arts LLC and are protected by copyright and related laws. All artwork, plates and prints produced by the Studio remain the intellectual property of the Studio unless the Scope assigns specific rights in writing.
A commission transfers the physical Work to the Client but does not transfer copyright. The Studio may photograph the Work for its archive and may include it in studio notes or a portfolio. If the Client prefers that a Work not be shown publicly, the Client should say so in the Scope, and the Studio will honor that request.
The Client may display the Work anywhere the Client wishes and may resell the physical Work. The Client may not reproduce the Work in merchandise, advertising or digital products without written permission.
12. Client Materials
The Client may provide photographs, drawings, measurements, diary notes or other materials to assist the work. The Client confirms that it has the right to share those materials and that their use by the Studio will not infringe the rights of another person.
The Studio will return original materials on request and will keep copies only as long as the commission record requires. If a Client sends a family photograph, the Studio will treat it with care and will not publish it without permission.
If a Client supplies a material that the Studio cannot lawfully use, the Studio may decline to use it and will explain why. The Studio will not copy another artist or studio composition to satisfy a request.
13. Cancellation and Refunds
A Client may cancel a commission before the survey by writing to the studio. In that case the deposit is refunded in full. After the survey but before blocking, the Studio keeps the portion of the deposit that covers the survey and the reserved bench time, and refunds the rest.
Once blocking begins, the deposit is not refundable because the work has started. If the Client cancels after blocking, the Studio may charge for the stages completed and will deliver any finished portion of the Work if the Client wishes to receive it.
If the Studio cancels for a reason within its control, the Studio will refund any payment for work not yet performed and will help the Client find another studio if the Client wishes. If the Studio cancels because of illness, a natural disaster or another event beyond reasonable control, the Studio will offer a revised date before considering cancellation.
14. Shipping and Risk of Loss
Finished Work is packed by hand with archival materials and shipped by a carrier chosen in the Scope. Shipping costs are stated separately from the fee, and the Client may arrange its own carrier if it prefers.
Risk of loss passes to the Client when the Work is handed to the carrier. The Studio will help file a claim if a parcel is damaged in transit, and will provide photographs and packing notes for that purpose. The Client should inspect a parcel on arrival and report damage within a reasonable time.
International shipments may attract duties, taxes and customs fees. Those costs are the responsibility of the Client, and the Studio cannot predict their amount. A parcel that is refused at customs may incur return charges that are also the responsibility of the Client.
15. Care of Finished Works
Paintings and prints should be kept out of direct sunlight, away from damp walls and away from sources of heat. A framed piece should be hung with appropriate hardware and should not be exposed to condensation in a bathroom or an unheated space.
For prints, handle the sheet by the edges, keep it in its folder until framing, and use archival matting. Do not use adhesive tape on the sheet. For paintings, dust gently with a dry soft brush and avoid cleaning fluids unless a conservator recommends them.
If a Work is damaged, contact the studio before attempting a repair. The Studio can often recommend a conservator, and a document that records the damage from the start helps with an insurance claim.
16. Open Deck Days and Visits
Open deck days are informal studio visits offered several times a year. They are free, they are family friendly, and they are not a sales appointment. Visitors should follow the guidance of studio staff around tools, wet paint and drying racks.
Children are welcome with an adult. Guests should not touch a drying piece, should keep food and drink away from the benches, and should ask before taking photographs. The Studio may photograph an event for its notes, and a visitor who prefers not to appear should tell a member of staff on arrival.
A scheduled studio consultation is a working appointment rather than a tour. Please arrive at the agreed time so that the bench and the lighting can be prepared. If you must cancel, a message a day in advance allows the studio to offer the slot to someone else.
17. Prohibited Conduct
You agree not to use the Site or the studio services to break the law, to harass a member of staff, to submit a false commission request, to copy the work of the Studio for resale, or to attempt to extract personal information about another client.
You also agree not to present a Work as your own creation, not to remove a signature or plate number, and not to reproduce a print run in a way that implies it belongs to the original edition.
The Studio may refuse service, close an inquiry, or end a commission if conduct makes the working relationship unsafe or dishonest. In such a case the Studio will refund payment for work not yet performed and will explain the decision in writing.
18. Disclaimers
The Site is provided on an as available basis. The Studio works to keep the pages accurate and online, but it does not promise uninterrupted access or freedom from error. Descriptions of services, seasons and availability are informational and may change.
Artwork is a matter of judgment. The Studio does not promise that a Work will match a particular expectation of color, mood or likeness beyond the approvals described in these terms. The Studio does promise honest craft, a documented process and a willingness to correct a clear error.
Nothing in these terms excludes a warranty or right that applicable law does not allow to be excluded. Where a warranty cannot be excluded, it applies to the fullest extent that the law permits.
19. Limitation of Liability
To the extent permitted by law, the Studio is not liable for indirect, incidental, special or consequential loss arising from the Site or from a commission, including lost profit, lost opportunity or damage to a vessel that the Studio did not cause.
The total liability of the Studio for a claim connected to a commission is limited to the fee paid for that commission. For a claim connected only to the Site, the total liability is limited to one hundred United States dollars.
These limits do not apply to fraud, willful misconduct, or any liability that the law does not allow to be limited. If a court finds a limit unenforceable, the remaining limits stay in effect.
20. Indemnity
You agree to indemnify the Studio against a claim, loss or expense that arises from your breach of these terms, from your misuse of the Site, or from materials you supplied that infringe the rights of another person. This obligation covers reasonable legal costs.
The Studio will notify you promptly of a claim that triggers this clause, will allow you to participate in the defense where the law permits, and will not settle a claim in a way that admits your fault without your consent.
This clause does not apply to the extent that a claim is caused by the negligence or misconduct of the Studio itself. Each party bears responsibility for its own conduct.
21. Governing Law and Disputes
These terms are governed by the laws of the State of Utah and the federal laws of the United States, without regard to conflict of law rules. A dispute should first be raised in writing so that the parties can try to resolve it directly within thirty days.
If direct discussion does not resolve the dispute, the parties agree to attempt mediation with a neutral mediator before filing a court action. The cost of mediation is shared equally unless the mediator decides otherwise.
If mediation fails, a court located in Utah County, Utah, will have jurisdiction, and each party consents to that venue. Nothing in this clause prevents either party from seeking urgent relief from a court where the law allows it.
22. Changes to These Terms
The Studio may update these terms to reflect a change in its services or in the law. The date at the top of the page shows when the current version took effect. A material change will be described in a short note, and a commission that is already underway will continue under the terms that applied when it began unless both parties agree to a change.
Continued use of the Site after a change is posted means that the revised terms apply to that use. A Client who does not accept a change may finish an existing commission under the earlier terms and then stop using the Site.
23. Contact Information
Questions about these terms, notices, and requests connected to an agreement should be sent to the studio using the details below. The Studio answers every message, and a written record of each notice is kept with the relevant commission file.
